These Terms of Service ("Terms") govern the training and consulting services provided by Tungsten Technology Corporation ("Tungsten Technology," "we," "us," or "our") to business clients and the use of our website. By engaging our services or using our website, you agree to be bound by these Terms.

TRAINING SERVICES

Service Offerings

Tungsten Technology provides live instructor-led computer training services to business clients on various technology topics as requested by client organizations.

Delivery Methods

Training is delivered both online and in-person based on client requirements. All training services are provided on a business-to-business basis to corporate clients only.

CONSULTING SERVICES

Service Scope

We may provide consulting services on a case-by-case basis upon request for topics related to the technology subjects we teach. Consulting services are provided exclusively to business clients and are governed by separate service agreements.

Project-Based Engagements

Consulting engagements are project-based and subject to availability. Scope, deliverables, timelines, and fees are established through separate consulting agreements for each engagement.

Consulting Disclaimers

Consulting services are provided on an "as is" basis. We do not warrant that consulting services will result in specific business outcomes, revenue increases, cost savings, or other measurable results. Client success depends on various factors beyond our control.

Work Product and Intellectual Property

Ownership of work product created during consulting engagements will be specified in individual consulting agreements. Pre-existing intellectual property and methodologies developed by Tungsten Technology remain our exclusive property.

Client Responsibilities

  • Provide accurate and complete information necessary for project completion
  • Grant timely access to systems, personnel, and resources as required
  • Review and approve deliverables within agreed timeframes
  • Ensure compliance with applicable laws and regulations
  • Obtain necessary permissions for use of third-party materials or services

Limitation of Consulting Liability

Our liability for consulting services shall not exceed the fees paid for the specific consulting engagement giving rise to any claim. We shall not be liable for indirect, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

ENROLLMENT AND ELIGIBILITY

Corporate Sponsorship Required

Training services are provided exclusively to employees of corporate sponsors who have engaged Tungsten Technology for training services. Individual public enrollment is not available.

Participant Requirements

  • All training participants must be at least 18 years of age
  • Participants must be sponsored by their employer
  • Participants must have authorization from their employer to attend training sessions
  • Valid business email address from sponsoring organization may be required

Verification Process

We reserve the right to verify participant eligibility and reject enrollment if proper authorization cannot be confirmed. Documentation of employment and authorization may be requested prior to training commencement.

TRAINING DELIVERY AND SCHEDULING

Schedule Management

Training schedules, format (online or in-person), and content are determined through agreement with the sponsoring organization. We reserve the right to reschedule, modify, or cancel training sessions due to unforeseen circumstances, including but not limited to:

  • Instructor availability or illness
  • Technical issues or system failures
  • Force majeure events (natural disasters, government actions, etc.)
  • Insufficient enrollment numbers

Change Notification

Clients will be notified of any schedule changes as soon as reasonably possible. In the event of cancellation by Tungsten Technology, we will work with clients to reschedule training at a mutually convenient time.

PARTICIPANT CONDUCT

Professional Standards

Training participants are expected to maintain professional conduct throughout all training sessions. The following behaviors will not be tolerated:

  • Disruptive, inappropriate, or abusive behavior toward instructors or other participants
  • Use of discriminatory or offensive language
  • Recording of training sessions without explicit permission
  • Sharing of training access credentials with unauthorized individuals

Preparation and Attendance

Participants must arrive prepared for training sessions with any required materials or software as communicated prior to the session. Late arrival or lack of preparation may impact the effectiveness of training for all participants. Violation of conduct policies may result in removal from training without refund to the sponsoring organization.

INTELLECTUAL PROPERTY

Tungsten Technology Content

All training materials, curriculum, methodologies, and content developed by Tungsten Technology remain our exclusive intellectual property. Training materials provided during sessions are for the exclusive use of the attending participants and their sponsoring organization.

Usage Restrictions

  • Materials may not be reproduced or distributed outside the sponsoring organization
  • Commercial use of training materials is strictly prohibited
  • Modification or creation of derivative works requires express written permission
  • Resale or licensing of materials to third parties is not permitted

CONFIDENTIALITY

Client Information Protection

We understand that training may involve access to client systems, data, or confidential business information. Tungsten Technology and its instructors will maintain strict confidentiality regarding any proprietary or sensitive information encountered during training delivery.

Additional Agreements

We may require execution of separate confidentiality agreements for specific engagements involving sensitive client information, regulated data, or proprietary systems.

LIMITATION OF LIABILITY

Service Disclaimer

Training services are provided "as is" without warranties of any kind. To the fullest extent permitted by law, Tungsten Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from our training services.

Liability Cap

Our total liability for any claims related to training services shall not exceed the fees paid by the client for the specific training engagement giving rise to the claim.

No Performance Guarantees

  • We do not guarantee specific learning outcomes or skill acquisition
  • Certification success is not guaranteed
  • Job performance improvements are not guaranteed
  • Individual learning results may vary based on participant engagement and aptitude

FORCE MAJEURE

Tungsten Technology shall not be liable for any failure or delay in performance of training services due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, network failures, pandemics, or other acts of God.

PAYMENT TERMS

Payment terms for training services are established in separate service agreements with sponsoring organizations. All fees are due according to the agreed upon payment schedule. Late payments may result in suspension of training services.

TERMINATION

Termination Rights

Either party may terminate training services in accordance with the terms specified in the applicable service agreement. We reserve the right to terminate services immediately for breach of these Terms or non-payment.

Effect of Termination

Upon termination, all access to training materials and resources will cease, and confidentiality obligations will survive termination.

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles. Any legal disputes shall be resolved in the courts of Wyoming.

CHANGES TO THESE TERMS

We may update these Terms of Service from time to time to reflect changes in our practices, legal requirements, or other factors.
